Welcome to Marqet! These Terms of Service govern your use of the Marqet commerce operating system, including all features, services, and applications provided through our platform (collectively, the "Services").
1. Agreement to Terms
By accessing or using Marqet, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service, our Privacy Policy, and all applicable laws and regulations.
If you do not agree with any of these terms, you are prohibited from using or accessing this site. You must be at least 18 years old and have the legal capacity to enter into binding contracts.
By using Marqet, you confirm:

- You have the authority to bind your business to these terms
- You will comply with all applicable laws and regulations
- All information provided is accurate and truthful
2. Services Description
Marqet provides an all-in-one commerce operating system that includes, but is not limited to:

- • Order processing and fulfillment
- • Integrated accounting tools
- • Point of Sale (POS) systems
- • AI-powered business intelligence
Additional Services
- • SEO-optimized store builder
- • Dedicated encrypted databases
- • Third-party integrations
- • Analytics and reporting
- • API access (select plans)
Service Availability: While we strive for 99.9% uptime, we do not guarantee uninterrupted access. Scheduled maintenance windows will be communicated in advance. We reserve the right to modify, suspend, or discontinue any part of the Services with reasonable notice.
3. User Obligations & Conduct
Account Responsibilities
- •You are responsible for maintaining the confidentiality of your account credentials
- •You must notify us immediately of any unauthorized access or security breach
- •You are liable for all activities conducted under your account
- •You must provide accurate, current, and complete information
Prohibited Uses
You agree NOT to use Marqet for any of the following:
Data Accuracy
You are solely responsible for the accuracy, quality, and legality of all data you upload, including product information, pricing, customer data, and transaction records. Marqet is not liable for any errors or consequences resulting from inaccurate data.
4. Payment Terms & Billing
Subscription Plans
Marqet offers multiple subscription tiers with varying features and pricing. By selecting a plan, you agree to pay the applicable fees.
- •Billing Cycle: Monthly or annual subscriptions are available. Annual plans are billed upfront with a discount.
- •Payment Methods: We accept major credit cards, debit cards, and ACH transfers (for annual plans).
- •Auto-Renewal: Subscriptions automatically renew unless canceled at least 48 hours before the renewal date.
- •Price Changes: We reserve the right to modify pricing with 30 days' notice. Changes affect subsequent billing periods only.
Late Payments & Suspension
If payment fails or your account becomes overdue:
Grace Period: You have a 7-day grace period to update payment information.
Service Suspension: After 7 days, your account will be suspended with read-only access.
Account Termination: After 30 days of non-payment, your account may be permanently deleted.
Refund Policy
Free Trial: If offered, free trials do not require payment information. You can cancel anytime during the trial without charge.
Monthly Plans: No refunds for partial months. Cancellation prevents future charges but does not refund the current period.
Annual Plans: Refunds are provided on a prorated basis if canceled within 30 days of initial purchase. After 30 days, no refunds are issued for annual subscriptions.
5. Intellectual Property Rights
Marqet's Property
All content, features, and functionality of the Services, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, data compilations, software, and the compilation thereof (collectively, "Marqet Content"), are owned by Marqet and protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.
Your Content
You retain all ownership rights to the content, data, and materials you upload to Marqet ("User Content"). By using our Services, you grant Marqet a limited, non-exclusive, royalty-free, worldwide license to:
- Host, store, and process your User Content to provide the Services
- Create derivative works for the purpose of improving our AI and analytics features
- Display your User Content within your authorized team and integrations
- Use aggregated, anonymized data for research and service improvement
We will never sell or share your User Content with third parties for their marketing purposes.
Trademark Notice
"Marqet" and all related logos, product names, and service names are trademarks or registered trademarks of Marqet Inc. You may not use these marks without our prior written permission.
6. Limitations of Liability & Disclaimers
IMPORTANT LEGAL NOTICE: Please read this section carefully as it limits Marqet's liability.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, MARQET DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
No Warranty
Marqet does not warrant that:
- •The Services will be uninterrupted, timely, secure, or error-free
- •The results obtained from using the Services will be accurate or reliable
- •Any errors in the software will be corrected
- •The Services will meet your specific requirements
Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, MARQET SHALL NOT BE LIABLE FOR:
- • Any indirect, incidental, special, consequential, or punitive damages
- • Loss of profits, revenue, data, or business opportunities
- • Service interruptions or data loss
- • Third-party integrations or external services
- • Unauthorized access to your data resulting from your security practices
Maximum Liability: In no event shall Marqet's total liability exceed the amount you paid to Marqet in the 12 months preceding the claim.
User Responsibility
You are solely responsible for backing up your data, maintaining secure credentials, and complying with all applicable laws in your jurisdiction. Marqet provides tools but cannot guarantee specific business outcomes.
7. Indemnification
You agree to indemnify, defend, and hold harmless Marqet, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:
Your violation of these Terms
Your violation of any third-party rights
Your User Content or business activities
Your negligence or willful misconduct
8. Termination
Termination by You
You may cancel your subscription at any time through your account settings. Upon cancellation:
- • You retain access until the end of your current billing period
- • No refunds are issued for the remaining period
- • You can export your data within 30 days of cancellation
- • Your data will be permanently deleted after 90 days
Termination by Marqet
We may suspend or terminate your account immediately if:
Terms Violation
You breach any provision of these Terms
Illegal Activity
We suspect fraudulent or unlawful activity
Non-Payment
Your account is overdue by more than 30 days
Service Abuse
You violate usage limits or engage in platform abuse
In case of termination by Marqet, we will provide notice when legally permissible and allow reasonable time for data export, except in cases of severe violations.
9. Dispute Resolution & Arbitration
Informal Resolution
Before pursuing formal dispute resolution, you agree to contact us at legal@marqet.com to attempt to resolve the issue informally. We commit to working in good faith to reach a mutually acceptable solution.
Binding Arbitration
Any disputes arising from these Terms or the Services shall be resolved through binding arbitration in accordance with the American Arbitration Association's Commercial Arbitration Rules.

10. Changes to Terms

- In-platform banner notification
- Updating the "Last Updated" date at the top of this page
Your continued use of the Services after changes take effect constitutes acceptance of the modified Terms. If you disagree with changes, you must discontinue use and cancel your account.
11. General Provisions
Entire Agreement
These Terms, together with our Privacy Policy and any additional agreements, constitute the entire agreement between you and Marqet.
Severability
If any provision is found unenforceable, the remaining provisions will continue in full force.
Waiver
No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.
Assignment
You may not assign or transfer these Terms without our consent. Marqet may assign these Terms without restriction.
Force Majeure
Marqet shall not be liable for any failure to perform due to circumstances beyond reasonable control.
